1. Introduction & Agreement
Welcome to WPVibrant. These Terms of Use (“Terms”) govern your access to and use of our WordPress maintenance services. This document is a binding agreement between you (“the Client”) and Vallieres Solutions, operating as WPVibrant (“we,” “us,” or “our”). By purchasing a service from us, you agree to these Terms.
2. Description of Services
WPVibrant provides ongoing WordPress website care through subscription-based “Care Plans” (Core and Commerce), optional “Add-on Services,” and pre-paid “On-Demand Support Blocks.” The specific features of each service are detailed on our Pricing page.
3. Service Policies and Scope
The following policies define the scope and limitations of the services provided under our Care Plans.
3.1 Website Update Policy
We perform software updates following industry best practices to minimize risk. In the event an update causes a technical issue, we will work to restore the site to its prior functional state. Our service includes up to thirty (30) minutes of diagnostic and resolution time per incident. If resolving the issue requires more than 30 minutes, we will inform you and provide a time and cost estimate for your approval before proceeding.
3.2 Backup Policy
We will perform backups at the frequency specified in your Care Plan (daily for Core, hourly for Commerce). Backups are stored on secure, off-site cloud servers and are retained for a rolling 30-day period. While we take every precaution, WPVibrant is not liable for any data loss. This service is a failsafe and should not be considered the only backup solution for your business.
3.3 Security Policy
Our security services, including monitoring, audits, and hardening, are designed to significantly reduce the risk of security breaches. However, no service can guarantee 100% protection. In the event of a security breach, we will assist with the restoration of a clean backup but are not liable for any damages or losses incurred. The cost of advanced malware removal or forensic investigation is not included in our Care Plans.
3.4 Monitoring Policy
We will monitor your website for uptime 24/7 at 5-minute intervals. If an outage is detected, our systems will automatically alert us. We will begin investigation and response during our standard business hours. This monitoring service does not guarantee your website will be online 100% of the time, as issues with web hosting or third-party providers are beyond our control.
3.5 Reporting Policy
The monthly reports we provide are for informational purposes only. The data is compiled from third-party tools and is intended to provide a summary of work performed and key metrics. We are not responsible for the accuracy of third-party data or for any business decisions made based on the report’s contents.
3.6 Third-Party Software Policy
As part of our services, we provide licenses for premium third-party software. These licenses are valid only while you have an active, paid subscription with us. If you cancel your service, these licenses will be deactivated. We reserve the right to change the specific third-party software used to deliver our services at any time, and will always aim to replace any tool with another of equivalent or superior functionality.
3.7 Support Policy
Support included in your Care Plan covers questions related to our services and reports. It does not cover development, design changes, content updates, or other “hands-on” tasks. These tasks can be performed via our On-Demand Support Blocks. Support is provided during our business hours (8:00 AM – 4:00 PM EST, Monday-Friday), with response times as defined on our Pricing page. Emergency after-hours support for critical issues is available at our standard hourly rate.
4. Client Responsibilities
The Client agrees to provide necessary access to their website and hosting account, maintain licenses for any software not provided by us, and promptly inform us of any issues. For service add-ons, the Client is responsible for the day-to-day use of the provided tools.
5. Payments, Subscriptions, and Refunds
All payments are processed via Stripe in Canadian Dollars (CAD). Subscriptions will automatically renew unless cancelled. Support Blocks expire 365 days from the date of purchase. We offer a 30-day money-back guarantee on new Care Plan subscriptions only.
6. Term and Termination
You may cancel your subscription at any time, with the cancellation taking effect at the end of your current paid billing period. We reserve the right to terminate service for reasons including non-payment or violation of these terms.
7. Confidentiality
We will treat all of your business information and website credentials as strictly confidential.
8. Limitation of Liability
While we strive to provide the highest quality of service, you agree that Vallieres Solutions, operating as WPVibrant, will not be liable for any damages (including, but not limited to, lost profits or data) arising from the use of our services. Our total liability to you for any and all claims is limited to the amount you have paid to us in the three (3) months preceding the claim.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein.
10. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of any significant changes by posting the new Terms on this site and/or providing notice via email.
